FOUNDING HEALTHCARE PROFESSIONAL SERVICES AGREEMENT

This Agreement is entered into between SOHHTAK (the "Platform") and the Independent Professional holder of a valid license from the Order of Nurses in Lebanon (ONL) or the Order of Physiotherapists in Lebanon (OPL).

1. Nature of the Relationship

Technology Intermediary

SOHHTAK operates strictly as a technology platform facilitating connections between patients and independent, licensed healthcare professionals. The Platform is limited to licensed nurses and physiotherapists. Additional healthcare professions may be added in future phases, subject to applicable laws and platform policies. SOHHTAK is not an employer, healthcare provider, or medical institution. SOHHTAK does not provide medical advice, diagnosis, or treatment.

Independent Status

The Healthcare Professional provides services as an independent professional. SOHHTAK does not supervise, direct, or control the Healthcare Professional's clinical judgment, medical decisions, or professional conduct. The Healthcare Professional is not entitled to any employee benefits, including paid leave, insurance coverage, or end-of-service compensation.

Healthcare professionals using the SOHHTAK platform act as independent practitioners and remain solely responsible for the medical services they provide. This includes clinical decisions, treatment methods, patient safety, and compliance with applicable medical laws and regulations.

SOHHTAK does not supervise, direct, or control the medical practice of healthcare professionals and cannot be held responsible for medical outcomes, professional conduct, or clinical decisions.

2. Scope of Services

Licensure

The Healthcare Professional must maintain a valid and active license issued by the relevant Order (ONL for Nurses, OPL for Physiotherapists).

Prescription-Based Care

All professional acts must be based on valid medical prescriptions issued by the patient's treating physician and performed strictly within the Healthcare Professional's legal scope of practice.

3. Financial Terms

Direct Payment

SOHHTAK does not process, collect, or hold any payments. All payment for healthcare services is made directly between the patient and the healthcare professional in cash at the time of service.

Provider Subscription

Providers receive a free first month. After that, keeping a provider account active on Sohhtak may require a monthly subscription. Providers may cancel at any time. Provider visibility, activation, and access to bookings depend on account status and platform rules. Subscription arrangements are handled directly with Sohhtak outside the app. Sohhtak does not deduct commission from patient payments.

Communication

After booking confirmation, communication with patients occurs directly via phone or WhatsApp. SOHHTAK does not monitor, store, or record these external communications.

4. Data Protection & Confidentiality

Law 81/2018

Both parties agree to comply with Lebanese Law No. 81/2018 on the protection of personal data.

Verification Documents

Identity documents, professional licenses, diplomas, CV, and profile photos submitted during registration are collected solely for credential verification and platform safety. They are stored securely and are not shared publicly with patients.

Sensitive Data

All patient health information encountered during the course of care is considered strictly confidential and must be handled with the highest level of professional discretion. SOHHTAK does not collect or store medical records, prescriptions, or clinical data.

5. Liability, Indemnification & Termination

The Healthcare Professional agrees to indemnify and hold harmless SOHHTAK from any claims, damages, liabilities, costs, or legal fees arising from professional negligence, misconduct, or clinical outcomes.

Termination

6. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of Lebanon. Any dispute shall fall under the exclusive jurisdiction of Lebanese courts.

By accepting this Agreement electronically, the Healthcare Professional confirms that they have read, understood, and agree to its terms.
